Table of Contents

Important Notice: These Terms & Conditions ("Agreement") constitute a legally binding contract between Buhotec International LLC ("Buhotec," "we," "us," or "our") and the business entity ("Customer," "you," or "your") engaging in wholesale purchasing activity. By registering for an account, submitting a purchase order, or accepting delivery of any product from Buhotec, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must not access the Buhotec platform or place any order.

1. Agreement & Eligibility

1.1 Acceptance of Terms

These Terms & Conditions govern every purchase order, sale, and commercial transaction between Buhotec International LLC, a Florida limited liability company with principal offices at 10900 NW 21st St, Unit 110, Doral, FL 33172, and any Customer. This Agreement is effective as of January 1, 2026, and supersedes all prior written or oral understandings between the parties regarding the subject matter herein.

1.2 B2B Wholesale Only — No Consumer Sales

Buhotec is a business-to-business (B2B) wholesale distributor exclusively. Access to Buhotec pricing, inventory, and services is available only to legally registered business entities, including but not limited to corporations, limited liability companies, partnerships, sole proprietorships with valid business registration, importers, exporters, retailers, and distributors purchasing for resale or commercial use. Buhotec does not sell to individual consumers for personal, family, or household use. Any attempt to access Buhotec services for personal or retail purposes is a material breach of this Agreement and grounds for immediate account termination.

1.3 Eligibility Requirements

To be eligible to purchase from Buhotec, you represent and warrant that:

  • You are a legally registered business entity in good standing under the laws of your jurisdiction of formation;
  • You have the full legal authority to enter into this Agreement and to bind your organization to its terms;
  • You are not purchasing goods for personal, household, or consumer use;
  • You are not located in, nor purchasing on behalf of any entity located in, a country subject to U.S. economic sanctions administered by the Office of Foreign Assets Control (OFAC); and
  • All information you provide to Buhotec during registration and throughout your relationship with us is accurate, current, and complete.

1.4 Right to Verify

Buhotec reserves the right, in its sole discretion, to verify the eligibility and legitimacy of any applicant or Customer at any time and to deny or revoke access to its wholesale platform without prior notice or liability.

2. Account Registration & KYC

2.1 Registration Requirement

All Customers must complete the Buhotec account registration process and receive written approval before accessing wholesale pricing, placing purchase orders, or receiving shipments. Submitting a registration application does not guarantee approval. Buhotec may approve or deny any application at its sole discretion.

2.2 Accuracy of Information

You agree to provide accurate, current, and complete information during the registration process and to update such information promptly when it changes. Providing false, misleading, or incomplete information is a material breach of this Agreement and may result in immediate account termination and referral to appropriate authorities.

2.3 KYC and AML Compliance

Buhotec is committed to compliance with applicable anti-money laundering (AML) laws and responsible sourcing regulations. As part of the account approval process, and on an ongoing basis, Buhotec may require Customers to provide:

  • Certified copies of business formation documents (articles of incorporation, LLC operating agreement, etc.);
  • Government-issued photo identification for the authorized legal representative(s) and beneficial owners;
  • Proof of business address (utility bill, lease agreement, or equivalent);
  • Resale certificates, import licenses, or permits as applicable to your jurisdiction;
  • Banking references or financial statements; and
  • Any additional documentation reasonably requested by Buhotec's compliance team.

Accounts will not be activated and no purchase orders will be accepted until Know Your Customer (KYC) verification is satisfactorily completed. Buhotec reserves the right to conduct periodic re-verification of active accounts.

2.4 Account Credentials & Security

You are responsible for maintaining the confidentiality of your account login credentials. You agree to notify Buhotec immediately at [email protected] of any unauthorized use of your account. Buhotec will not be liable for any losses resulting from unauthorized account access where you have failed to maintain reasonable credential security.

2.5 Non-Transferability; One Account Per Legal Entity

Buhotec accounts are non-transferable and may not be assigned, shared, or sold to any third party. Only one account may be registered per legal entity. Subsidiaries and affiliates that wish to transact independently must register separately.

3. Pricing & Quotes

3.1 Currency

All prices quoted by Buhotec are denominated in United States Dollars (USD) unless explicitly stated otherwise in a written quote. Customers are responsible for any currency conversion costs, banking fees, or exchange rate risks associated with payment in a currency other than USD.

3.2 Quote Validity

Written price quotes issued by Buhotec are valid for forty-eight (48) hours from the date and time of issuance unless the quote document expressly states a different validity period. Quotes that are not accepted within the validity window are automatically void and Buhotec is under no obligation to honor them thereafter. Price re-quotation will be required for any order submitted after a quote has expired.

3.3 Price Changes

Prices for products listed on the Buhotec portal or communicated informally (e.g., via email or messaging) are subject to change without prior notice and do not constitute a binding offer. Only a duly signed or confirmed written quote constitutes a pricing commitment subject to the validity window described in Section 3.2. Buhotec is not responsible for market price fluctuations in consumer electronics inventory.

3.4 Minimum Order Quantities

Certain products and product categories may be subject to minimum order quantities (MOQ). MOQs, where applicable, will be stated in the relevant product listing or quote. Buhotec reserves the right to impose, modify, or waive MOQs at its discretion. Orders that do not meet applicable MOQs may be rejected or adjusted by Buhotec.

3.5 Typographical Errors

Buhotec makes reasonable efforts to ensure the accuracy of pricing and product information. However, Buhotec is not bound by and accepts no liability for typographical errors, clerical mistakes, or system errors in published prices or product descriptions. In the event of a pricing error, Buhotec will notify the Customer and provide the correct price; the Customer may then confirm or cancel the order without penalty.

4. Purchase Orders & Acceptance

4.1 Submission of Purchase Orders

All purchase orders must be submitted in writing, either by email to [email protected] or through the Buhotec customer portal. Verbal orders or orders communicated via messaging applications (including but not limited to WhatsApp, SMS, or social media platforms) do not constitute binding purchase orders and will not be processed until confirmed in writing.

4.2 Purchase Order as Offer

A purchase order submitted by a Customer constitutes an offer to purchase and does not constitute a binding contract. A binding sales contract is formed only upon Buhotec's issuance of a written order confirmation or sales acknowledgment. Any Customer purchase order terms and conditions that differ from or supplement this Agreement are expressly rejected and shall have no force or effect unless Buhotec expressly agrees to them in a separate signed written instrument.

4.3 Right to Decline

Buhotec reserves the right, in its absolute discretion, to reject or decline any purchase order for any reason, including but not limited to product unavailability, pricing disputes, unresolved account balances, export compliance concerns, or suspected fraudulent activity. Buhotec will not incur liability for declining an order.

4.4 Order Modifications

Customers may request modifications to a submitted purchase order prior to Buhotec's issuance of an order confirmation. Once an order has been confirmed, modifications (including changes to quantity, SKU, shipping address, or delivery instructions) are subject to Buhotec's approval and may result in price adjustments or restocking charges.

4.5 Backorders

If any item on a confirmed order is temporarily out of stock, Buhotec will notify the Customer in writing with an estimated availability date. The Customer may elect to (a) wait for the item to become available, (b) substitute an alternative product if available and mutually agreed upon, or (c) cancel the affected line item. Buhotec will not be liable for delays or damages arising from inventory shortfalls.

5. Payment Terms

5.1 Standard Payment Terms

Unless otherwise agreed in writing, payment for all orders is due in full prior to shipment. Accounts that have completed Buhotec's credit review process and received written credit approval may be offered Net 30 payment terms, meaning full payment is due within thirty (30) calendar days of the invoice date. Credit terms are a privilege, not a right, and are subject to ongoing creditworthiness review.

5.2 Payment Methods

Buhotec accepts the following payment methods:

  • Domestic ACH (Automated Clearing House): Accepted for domestic U.S. customers with approved credit terms.
  • International Wire Transfer: Required for all international customers and for all domestic orders exceeding ten thousand U.S. dollars (USD $10,000.00).
  • Other methods: Payments by check, credit card, or other instruments are not accepted unless expressly authorized in writing by Buhotec's finance department on a case-by-case basis.

All bank fees, wire transfer charges, and intermediary bank fees associated with payment are the sole responsibility of the Customer. Payments must be received by Buhotec in full, net of all charges.

5.3 Late Payment

Invoices not paid by the due date will accrue interest at the rate of one and one-half percent (1.5%) per month on the outstanding balance, or the maximum rate permitted by applicable Florida law, whichever is less. In addition to interest, Buhotec reserves the right to (a) suspend all shipments and portal access for the delinquent account, (b) require prepayment for future orders, and (c) refer the outstanding balance to a collections agency or legal counsel. The Customer shall be responsible for all costs of collection, including reasonable attorneys' fees.

5.4 Credit Terms and Revocation

Approved credit terms may be revoked by Buhotec at any time, with or without notice, upon deterioration of the Customer's creditworthiness, late payment history, changes in the Customer's ownership or financial condition, or for any other commercially reasonable reason. Upon revocation, all outstanding invoices become immediately due and payable and all future orders revert to prepayment terms.

5.5 Disputed Invoices

If a Customer disputes any portion of an invoice, the Customer must notify Buhotec in writing within seven (7) business days of the invoice date, specifying the disputed amount and the basis for the dispute. Undisputed amounts must be paid in full by the original due date. Failure to timely dispute an invoice shall constitute acceptance of all charges.

6. Shipping & Delivery

6.1 FOB Origin — Title and Risk of Loss

All sales are made FOB Origin (Buhotec's Miami, Florida warehouse). Title to goods and all risk of loss or damage passes from Buhotec to the Customer upon delivery of the goods to the carrier at Buhotec's facility. Buhotec's obligation to deliver is fulfilled at the point of tender to the carrier; subsequent transit, delays, loss, or damage are the Customer's responsibility.

6.2 Freight Forwarders and Carriers

Buhotec utilizes licensed and bonded freight forwarders and common carriers for domestic and international shipments. The Customer may designate a preferred freight forwarder for international shipments; if no preference is stated, Buhotec will select a carrier at its reasonable discretion. Buhotec does not guarantee the availability of any specific carrier or freight service.

6.3 International Shipments — Customer Responsibilities

For all international shipments, the Customer is solely responsible for:

  • All import duties, taxes, tariffs, and customs fees imposed by the destination country;
  • Customs clearance, import licensing, and compliance with destination country import regulations;
  • Any inspections, quarantines, or delays imposed by customs authorities;
  • Ensuring that the imported goods comply with all product safety, labeling, and regulatory standards of the destination country; and
  • All freight insurance costs unless otherwise agreed in writing.

Buhotec strongly recommends that Customers obtain cargo insurance for all international shipments. Buhotec may, at the Customer's request and expense, arrange cargo insurance through its freight forwarders.

6.4 Delivery Estimates

Delivery dates and transit times provided by Buhotec are estimates only and are not guaranteed. Buhotec will not be liable for any loss, damage, costs, or penalties arising from delayed delivery, including but not limited to lost profits, missed commercial opportunities, or contractual penalties the Customer may owe to its own customers.

6.5 Inspection Upon Receipt; Damage Claims

The Customer must inspect all shipments promptly upon receipt. Any visible damage to packaging or goods, shortage in quantity, or incorrect items must be reported to Buhotec in writing within forty-eight (48) hours of delivery. Claims submitted after this window may be denied at Buhotec's discretion. The Customer must retain all original packaging, packing slips, and photographic evidence of damage to support any claim.

7. Returns & RMA (Return Merchandise Authorization)

7.1 RMA Required

No product may be returned to Buhotec without prior written Return Merchandise Authorization (RMA). Customers wishing to initiate a return must contact Buhotec at [email protected] to request an RMA number. Returns received without a valid RMA number will be refused at Buhotec's dock and returned to sender at the Customer's expense.

7.2 Return Window

Return requests must be initiated within thirty (30) calendar days of the Customer's confirmed receipt of the goods. Buhotec will not accept return requests submitted after this period, except in cases of latent manufacturing defects covered under a manufacturer warranty process.

7.3 Condition of Returned Goods

To be eligible for a return, products must be:

  • In original, factory-sealed, unopened condition with all original packaging, documentation, and accessories intact;
  • Free from physical damage, tampering, or signs of use; and
  • Accompanied by the original Buhotec invoice and the RMA number visibly marked on the outer packaging.

An exception to the "unopened" requirement applies to products that are being returned due to a confirmed manufacturing defect or a documented shipping damage claim (see Section 6.5).

7.4 Restocking Fee

Non-defective returns that are accepted by Buhotec will be subject to a restocking fee of fifteen percent (15%) of the invoice value of the returned goods. This fee compensates Buhotec for the costs of inspection, repackaging, and re-stocking. The restocking fee will be deducted from any credit issued.

7.5 Defective Goods

If a product is confirmed to be defective upon arrival (Dead on Arrival / DOA), Buhotec will, at its election, replace the defective unit with an equivalent product or issue a credit against a future invoice. Defective claims must be substantiated with photographic or video evidence of the defect submitted alongside the RMA request. Buhotec reserves the right to require that the defective unit be returned before a replacement or credit is issued.

7.6 Non-Returnable Items

The following categories of products are not eligible for return under any circumstances:

  • Special-order items procured by Buhotec at the Customer's specific request;
  • Clearance, liquidation, or "as-is" products sold at a discounted price with disclosed condition;
  • Discontinued items or products purchased from end-of-life inventory; and
  • Products that have been opened, used, registered with the manufacturer, or activated.

8. Product Warranty

8.1 Pass-Through of Manufacturer Warranties

Buhotec distributes products manufactured by third parties (including, without limitation, Sony, Nintendo, Anker, JBL, NordicTrack, and other brands). To the extent any such manufacturer provides a limited warranty with its products, Buhotec passes that warranty through to the Customer on a pass-through basis only. The terms, duration, and conditions of any manufacturer warranty are governed solely by the applicable manufacturer's warranty documentation.

8.2 No Independent Warranty by Buhotec

BUHOTEC MAKES NO INDEPENDENT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, WITH RESPECT TO ANY PRODUCT, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR SATISFACTORY QUALITY. ALL PRODUCTS ARE SOLD "AS IS" EXCEPT TO THE EXTENT OF ANY APPLICABLE MANUFACTURER WARRANTY PASSED THROUGH UNDER SECTION 8.1.

8.3 Warranty Claims — Manufacturer Direct

All warranty claims must be submitted directly to the applicable manufacturer in accordance with the manufacturer's warranty process. Buhotec is not a party to any manufacturer warranty and does not act as the manufacturer's agent for warranty purposes. Buhotec will, as a commercial courtesy, reasonably assist Customers in identifying the appropriate manufacturer warranty contact and facilitating communication, but this assistance does not create any warranty obligation on Buhotec's part.

8.4 Serial Numbers and Warranty Registration

Many manufacturers require product registration to activate warranty coverage. The Customer is solely responsible for registering products with the applicable manufacturer within any required timeframe. Buhotec is not responsible for warranty coverage that lapses due to the Customer's failure to register a product.

9. Export Controls & OFAC Compliance

9.1 Customer Representations and Certifications

By placing any purchase order with Buhotec, the Customer represents, warrants, and certifies as of the date of each order that:

  • The goods are being purchased for legitimate commercial resale or business use and are not intended for any military end use, weapons of mass destruction program, or other prohibited end use under the Export Administration Regulations (EAR) or the International Traffic in Arms Regulations (ITAR);
  • Neither the Customer, nor any of its owners, officers, directors, or beneficial owners, is listed on the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC) Specially Designated Nationals (SDN) list, the Denied Persons List, the Entity List, or any other applicable U.S. Government restricted party list;
  • The goods will not be exported, re-exported, transferred, or diverted to any country, entity, or individual subject to U.S. economic sanctions or export restrictions, including but not limited to Cuba, Iran, North Korea, Russia, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine;
  • The Customer will comply fully with all applicable U.S. export control laws and regulations, including the EAR (15 C.F.R. Parts 730–774), OFAC regulations (31 C.F.R. Parts 500–598), and any other applicable federal, state, or foreign laws governing the export or re-export of the purchased goods; and
  • The Customer will comply with all import and customs laws of the destination country.

9.2 Buhotec's Right to Screen and Cancel

Buhotec reserves the right to screen all orders and customers against applicable government watchlists and to cancel, hold, or refuse to ship any order that Buhotec believes, in its sole discretion, may violate any applicable export control law, sanction, embargo, or regulation. Buhotec will not be liable to the Customer for any losses, costs, or damages arising from such cancellation or hold.

9.3 End-Use Documentation

Buhotec may request from the Customer, as a condition of order fulfillment, an End-User Statement (EUS), a Letter of Explanation, or other documentation certifying the intended end use and ultimate destination of the goods. Failure to provide requested documentation within a reasonable time may result in order cancellation.

9.4 Consequences of Violations

Any violation of this Section 9 by the Customer constitutes a material breach of this Agreement and will result in immediate account termination. Buhotec reserves the right to report suspected export control violations to the U.S. Bureau of Industry and Security (BIS), OFAC, Customs and Border Protection (CBP), or other relevant authorities. The Customer shall indemnify and hold Buhotec harmless from any fines, penalties, forfeitures, legal fees, or other damages arising from the Customer's export control violations.

10. Intellectual Property

10.1 Buhotec Proprietary Rights

All content on the Buhotec website, customer portal, and marketing materials — including but not limited to the Buhotec name, logo, trademarks, trade dress, product photography, pricing catalogs, written content, and software — is the proprietary intellectual property of Buhotec International LLC or its licensors and is protected under applicable U.S. and international copyright, trademark, and trade secret laws.

10.2 Restrictions on Use

The Customer may not, without the prior written consent of Buhotec:

  • Use the Buhotec name, logo, or trademarks in any advertising, promotional materials, website, or social media;
  • Represent itself as an authorized dealer, certified reseller, or official partner of Buhotec;
  • Copy, reproduce, distribute, or create derivative works based on Buhotec's portal, catalogs, or proprietary content;
  • Scrape, crawl, or programmatically extract pricing data or product listings from Buhotec's systems; or
  • Use Buhotec's trademarks in any domain name, social media handle, or search engine advertising campaign.

10.3 Third-Party Brand Ownership

All third-party brand names, logos, and trademarks referenced in connection with products sold by Buhotec (e.g., Sony, PlayStation, Nintendo, JBL, Anker, NordicTrack) are the exclusive property of their respective owners. Buhotec's authorization to sell these products does not constitute a license to use the associated brands. Authorized resale of products purchased from Buhotec does not include any right to use, license, or sublicense any brand, trademark, or intellectual property of the product manufacturer.

10.4 Customer Content

By submitting any information, documents, or content to Buhotec (including KYC documents, purchase orders, and communications), the Customer grants Buhotec a non-exclusive, royalty-free license to use such content for the limited purpose of processing orders and maintaining business records as required by law.

11. Confidentiality

11.1 Confidential Information Defined

"Confidential Information" means any non-public information disclosed by Buhotec to the Customer in connection with their commercial relationship, including but not limited to: wholesale pricing schedules, volume discount structures, credit terms, payment terms, inventory levels and sourcing arrangements, supplier relationships, business strategies, and the specific terms of any purchase order, contract, or agreement between Buhotec and the Customer.

11.2 Non-Disclosure Obligation

The Customer agrees to hold all Confidential Information in strict confidence and to not disclose any Confidential Information to any third party without the prior written consent of Buhotec. The Customer shall use the Confidential Information solely for the purpose of conducting its authorized business relationship with Buhotec and shall implement reasonable security measures to prevent unauthorized disclosure. The Customer shall disclose Confidential Information only to its own employees, officers, or authorized agents who have a need to know the information for legitimate business purposes and who are bound by confidentiality obligations no less stringent than those in this Agreement.

11.3 Exceptions

The confidentiality obligation does not apply to information that: (a) is or becomes publicly known through no fault of the Customer; (b) was already known to the Customer prior to disclosure by Buhotec, as evidenced by written records; (c) is independently developed by the Customer without reference to the Confidential Information; or (d) is required to be disclosed by operation of law, court order, or regulatory directive, provided that the Customer gives Buhotec prompt written notice and cooperates in any effort to obtain a protective order.

11.4 Survival

The confidentiality obligations in this Section 11 shall survive the termination of this Agreement for a period of three (3) years.

12. Limitation of Liability

12.1 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUHOTEC SHALL NOT BE LIABLE TO THE CUSTOMER OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR ANY PURCHASE TRANSACTION, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS OPPORTUNITY, LOSS OF GOODWILL, LOSS OF DATA, OR COST OF SUBSTITUTE GOODS OR SERVICES, EVEN IF BUHOTEC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY.

12.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUHOTEC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH ANY INDIVIDUAL ORDER OR CLAIM SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY THE CUSTOMER TO BUHOTEC FOR THE SPECIFIC PURCHASE ORDER GIVING RISE TO SUCH CLAIM. THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF THE CLAIM (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE).

12.3 Force Majeure

Buhotec shall not be liable for any failure or delay in performance arising from causes beyond its reasonable control, including but not limited to: acts of God or nature (hurricanes, floods, earthquakes, pandemics); global or regional supply chain disruptions; port congestion or logistics delays; import or export restrictions, embargoes, or sanctions imposed by any government; acts of war, terrorism, civil unrest, or riot; labor strikes or work stoppages; fire, power failures, or telecommunications outages; or governmental orders, regulations, or actions. Buhotec will notify the Customer of a force majeure event as soon as reasonably practicable. If a force majeure event continues for more than sixty (60) days, either party may terminate the affected order upon written notice without further liability.

12.4 Essential Basis of Bargain

The Customer acknowledges that the limitations of liability set forth in this Section 12 reflect a reasonable allocation of risk and are an essential element of the basis of the bargain between Buhotec and the Customer. Without these limitations, Buhotec would not enter into this Agreement or provide its wholesale services at the pricing offered.

13. Indemnification

13.1 Customer Indemnification Obligation

The Customer agrees to defend, indemnify, and hold harmless Buhotec International LLC, its members, managers, officers, employees, agents, successors, and assigns from and against any and all claims, demands, lawsuits, investigations, regulatory actions, losses, damages, liabilities, penalties, fines, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

  • The Customer's breach of any representation, warranty, covenant, or obligation under this Agreement;
  • The Customer's violation of any applicable law or regulation, including export control laws, OFAC regulations, customs laws, and import regulations of any jurisdiction;
  • The Customer's misuse, misrepresentation, or negligent handling of any product purchased from Buhotec;
  • Any product liability claim brought by the Customer's downstream customers or end users arising from modifications made by the Customer to any product;
  • The Customer's infringement of any third-party intellectual property right in connection with its resale or marketing activities; or
  • Any fraud, willful misconduct, or gross negligence by the Customer or its representatives.

13.2 Indemnification Procedure

Buhotec will provide the Customer with prompt written notice of any claim for which indemnification is sought. The Customer shall have the right to assume control of the defense of such claim with counsel reasonably acceptable to Buhotec, provided that Buhotec reserves the right to participate in its own defense with counsel of its choice and at its own expense. The Customer shall not settle any claim without Buhotec's prior written consent, which shall not be unreasonably withheld.

14. Dispute Resolution

14.1 Governing Law

This Agreement and all transactions contemplated hereunder shall be governed by and construed in accordance with the laws of the State of Florida, without giving effect to any conflict of law provisions that would require the application of the law of any other jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded from application to this Agreement.

14.2 Mandatory Binding Arbitration

Except as provided in Section 14.4, any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or validity thereof, shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, as amended from time to time. The arbitration shall be conducted in Miami-Dade County, Florida. The arbitration shall be conducted before a single arbitrator mutually selected by the parties, or if the parties cannot agree, appointed by the AAA. The language of the arbitration shall be English. The arbitrator's decision shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE CUSTOMER WAIVES ANY RIGHT TO BRING, PARTICIPATE IN, OR RECEIVE RELIEF FROM ANY CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED PROCEEDING, REPRESENTATIVE PROCEEDING, OR PRIVATE ATTORNEY GENERAL ACTION AGAINST BUHOTEC. ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY.

14.4 Exceptions to Arbitration

Notwithstanding Section 14.2, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration, including in cases involving breach of confidentiality, intellectual property infringement, or export control violations. The parties consent to the exclusive jurisdiction of the state and federal courts sitting in Miami-Dade County, Florida for such emergency relief and for enforcement of arbitration awards.

14.5 Informal Resolution

Before initiating arbitration, the parties agree to first attempt to resolve any dispute through good-faith negotiation. Either party may initiate informal resolution by providing written notice of the dispute to the other party. The parties shall have thirty (30) days from the date of such notice to attempt to resolve the dispute through negotiation before either party may initiate arbitration.

15. Termination

15.1 Termination for Cause

Buhotec may terminate any Customer account immediately and without prior notice upon the occurrence of any of the following events:

  • Non-payment of any invoice that remains delinquent for more than fifteen (15) days beyond its due date;
  • Fraud, misrepresentation, or material omission in the Customer's registration application or ongoing account information;
  • Any violation of Section 9 (Export Controls & OFAC Compliance);
  • Unauthorized use of Buhotec's intellectual property;
  • Breach of confidentiality obligations;
  • Insolvency, bankruptcy filing, assignment for the benefit of creditors, or appointment of a receiver or trustee by the Customer; or
  • Any other material breach of this Agreement that remains uncured for ten (10) business days after written notice.

Upon termination for cause, all outstanding invoices become immediately due and payable and Buhotec reserves the right to seek all available legal and equitable remedies. Open purchase orders that have been confirmed prior to termination for cause may be cancelled at Buhotec's discretion, and any deposits or prepayments may be applied against outstanding amounts owed.

15.2 Termination for Convenience

Either party may terminate this Agreement (and the ongoing wholesale account relationship) for any reason or no reason upon thirty (30) days' prior written notice to the other party. During the notice period, both parties shall continue to honor their respective obligations. Confirmed purchase orders placed prior to the notice of termination shall be fulfilled in accordance with their terms, unless the termination is for cause.

15.3 Effect of Termination

Upon termination of this Agreement for any reason: (a) all rights granted to the Customer hereunder shall immediately cease; (b) all amounts owed to Buhotec shall become immediately due and payable; (c) the Customer shall cease all use of Buhotec's portal, content, and confidential information; and (d) all provisions of this Agreement that by their nature should survive termination shall survive, including Sections 9 (Export Controls), 10 (Intellectual Property), 11 (Confidentiality), 12 (Limitation of Liability), 13 (Indemnification), 14 (Dispute Resolution), and this Section 15.

16. General Provisions

16.1 Entire Agreement

This Agreement, together with any applicable written quote, order confirmation, or credit agreement issued by Buhotec, constitutes the entire agreement between Buhotec and the Customer with respect to the subject matter hereof and supersedes all prior negotiations, representations, warranties, understandings, proposals, and agreements, whether oral or written, relating to the same subject matter.

16.2 Amendments

Buhotec reserves the right to amend these Terms & Conditions at any time. Buhotec will provide notice of material amendments by posting the updated Terms on its website and/or notifying registered Customers by email at least fourteen (14) days before the amendments take effect. The Customer's continued placement of purchase orders after the effective date of any amendment constitutes acceptance of the amended Terms. If the Customer does not agree to any amendment, its sole remedy is to terminate its account in accordance with Section 15.2.

16.3 Severability

If any provision of this Agreement is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable in whole or in part, such provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the invalid provision shall be severed from the Agreement, and the remaining provisions shall continue in full force and effect.

16.4 No Waiver

No failure or delay by Buhotec in exercising any right, power, or remedy under this Agreement shall operate as a waiver of that right, power, or remedy. No single or partial exercise of any right or remedy shall preclude any further exercise of the same or any other right or remedy. A waiver must be made in writing and signed by an authorized representative of Buhotec to be effective, and shall apply only to the specific instance to which it relates.

16.5 Electronic Signatures and Communications

The parties agree that electronic signatures (including email confirmations, digital acknowledgments, and click-to-accept mechanisms) are valid and legally binding with the same effect as handwritten signatures pursuant to the Electronic Signatures in Global and National Commerce Act (E-SIGN), the Florida Electronic Signature Act (Florida Statutes § 668.50 et seq.), and other applicable laws. Email communications bearing the Customer's authorized email address shall constitute valid written notices and agreements for purposes of this Agreement.

16.6 Assignment

The Customer may not assign, delegate, or transfer this Agreement, any rights hereunder, or any account obligations to any third party without the prior written consent of Buhotec, which may be withheld in Buhotec's sole discretion.

  • Es una entidad comercial legalmente registrada y en regla bajo las leyes de su jurisdicción de constitución;
  • Tiene plena autoridad legal para celebrar este Acuerdo y vincular a su organización a sus términos;
  • No está adquiriendo bienes para uso personal, doméstico o de consumidor;

1.4 Derecho a Verificar

  • Copias certificadas de los documentos de constitución empresarial (actas constitutivas, acuerdo operativo de LLC, etc.);
  • Identificación con fotografía emitida por el gobierno para el(los) representante(s) legal(es) autorizado(s) y los beneficiarios finales;
  • Comprobante de domicilio comercial (recibo de servicios, contrato de arrendamiento o equivalente);

  • Referencias bancarias o estados financieros; y

4.3 Derecho a Rechazar

  • Todos los derechos de importación, impuestos, aranceles y tasas aduaneras impuestos por el país de destino;
  • El despacho aduanero, las licencias de importación y el cumplimiento de las regulaciones de importación del país de destino;
  • Cualquier inspección, cuarentena o demora impuesta por las autoridades aduaneras;

  • En condición original, sellada de fábrica y sin abrir, con todo el embalaje, la documentación y los accesorios originales intactos;

7.6 Artículos No Retornables

  • Artículos de pedido especial adquiridos por Buhotec a solicitud específica del Cliente;
  • Productos en liquidación, de oferta o "tal como están" vendidos a precio reducido con condición declarada;

  • Los bienes se están adquiriendo para reventa comercial legítima o uso empresarial y no están destinados a ningún uso final militar, programa de armas de destrucción masiva u otro uso final prohibido bajo las Regulaciones de Administración de Exportaciones (EAR) o los Reglamentos Internacionales sobre el Tráfico de Armas (ITAR);
  • Ni el Cliente, ni ninguno de sus propietarios, funcionarios, directores o beneficiarios finales, aparece en la lista de Nacionales Especialmente Designados (SDN) de la Oficina de Control de Activos Extranjeros (OFAC) del Departamento del Tesoro de EE. UU., la Lista de Personas Denegadas, la Lista de Entidades, ni en ninguna otra lista de partes restringidas del Gobierno de EE. UU. aplicable;
  • Los bienes no serán exportados, reexportados, transferidos ni desviados a ningún país, entidad o individuo sujeto a sanciones económicas de EE. UU. o restricciones de exportación, incluidos, entre otros, Cuba, Irán, Corea del Norte, Rusia, Siria y las regiones de Crimea, Donetsk y Lugansk de Ucrania;

  • Utilizar el nombre, el logotipo o las marcas comerciales de Buhotec en ningún material publicitario, promocional, sitio web o redes sociales;

  • Copiar, reproducir, distribuir o crear trabajos derivados basados en el portal, los catálogos o el contenido propietario de Buhotec;

12. Limitación de Responsabilidad

12.1 Exclusión de Daños Consecuentes

EN LA MÁXIMA MEDIDA PERMITIDA POR LA LEY APLICABLE, BUHOTEC NO SERÁ RESPONSABLE ANTE EL CLIENTE NI ANTE NINGÚN TERCERO POR DAÑOS INDIRECTOS, INCIDENTALES, CONSECUENTES, ESPECIALES, EJEMPLARES O PUNITIVOS QUE SURJAN DE O EN RELACIÓN CON ESTE ACUERDO O CUALQUIER TRANSACCIÓN DE COMPRA, INCLUIDOS, ENTRE OTROS, LA PÉRDIDA DE BENEFICIOS, LA PÉRDIDA DE INGRESOS, LA PÉRDIDA DE OPORTUNIDADES COMERCIALES, LA PÉRDIDA DE REPUTACIÓN, LA PÉRDIDA DE DATOS O EL COSTO DE BIENES O SERVICIOS SUSTITUTOS, INCLUSO SI BUHOTEC HA SIDO ADVERTIDO DE LA POSIBILIDAD DE DICHOS DAÑOS Y CUALQUIERA QUE SEA LA TEORÍA DE RESPONSABILIDAD.

12.2 Límite de Responsabilidad

EN LA MÁXIMA MEDIDA PERMITIDA POR LA LEY APLICABLE, LA RESPONSABILIDAD TOTAL AGREGADA DE BUHOTEC QUE SURJA DE O EN RELACIÓN CON CUALQUIER PEDIDO O RECLAMACIÓN INDIVIDUAL NO EXCEDERÁ EL MONTO TOTAL EFECTIVAMENTE PAGADO POR EL CLIENTE A BUHOTEC POR LA ORDEN DE COMPRA ESPECÍFICA QUE DÉ LUGAR A DICHA RECLAMACIÓN. ESTA LIMITACIÓN SE APLICA INDEPENDIENTEMENTE DE LA FORMA DE LA RECLAMACIÓN (CONTRATO, AGRAVIO, NEGLIGENCIA, RESPONSABILIDAD OBJETIVA U OTRO).

12.3 Fuerza Mayor

  • El incumplimiento por parte del Cliente de cualquier declaración, garantía, compromiso u obligación bajo este Acuerdo;
  • La violación por parte del Cliente de cualquier ley o regulación aplicable, incluidas las leyes de control de exportaciones, las regulaciones de OFAC, las leyes aduaneras y las regulaciones de importación de cualquier jurisdicción;
  • El uso indebido, la tergiversación o el manejo negligente por parte del Cliente de cualquier producto adquirido a Buhotec;
  • Cualquier reclamación de responsabilidad por productos presentada por los clientes intermedios o usuarios finales del Cliente como resultado de modificaciones realizadas por el Cliente a cualquier producto;

14.3 Renuncia a Acciones Colectivas
